Hotel Roca Negra Agaete has completed a strategic restructuring of its syndicated debt, a financial maneuver designed to provide the company with the necessary liquidity for its next phase of expansion. The operation allows the company to obtain the essential financial flexibility to execute its asset repositioning plan, consolidating its presence in northern Gran Canaria.
The agreement, managed by Deloitte Transactions' Canary Islands division, ensures the company's long-term operational stability. This debt restructuring guarantees that the Angulo family, owners of the establishment, can pursue their strategic objectives without the constraints of the previous debt structure.
Britania SPV, the majority shareholder of the Occidental Roca Negra Hotel, has consolidated its full control of the establishment after acquiring the shares of all minority shareholders for €4.955.000. This transaction, which increases its stake to 100% of the shares, was executed through an innovative mezzanine financing structure.
In March 2025, it was revealed that the transaction was advised by One Investment, a boutique firm specializing in debt, which designed a financial model to overcome the main technical challenge: acquiring the shares without altering the existing first-priority mortgage on the asset. The solution involved structuring a second tranche of financing, which assumes a higher risk in exchange for a greater return linked to profits, thus complementing the main mortgage. The Occidental Roca Negra Hotel, located on the beachfront of Las Nieves in Agaete, is a four-star, 140-room property built in 2010. Since 2022, the hotel has been operated by the Barceló Group, following a recent renovation that has enhanced its appeal in the European market.
